The Sweepstakes starts on December 31, 2022, and ends on Friday, January 27, 2023 at 11:59pm EST (the "Sweepstakes Period"). The Sweepstakes schedule is as follows:

The Sweepstakes is open to any United States resident. The Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with, Facebook, Instagram, Twitter, or other media properties. You are providing your information to the Sponsor. The following individuals are not eligible to win the Sweepstakes: (a) employees of (i) Sponsor or its related companies, (ii) Food52, (iii) Sponsor’s vendors, and (iii) suppliers, importers, wholesalers, distributors and retailers and, in each case, any of its or their respective affiliates, printers, subsidiaries, advertising and promotion agencies or any other company or individual involved in the creation, development, or implementation of the Sweepstakes; and (b) any members of their immediate families (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) or households (people who share the same residence at least three (3) months out of the year). Entries for the Sweepstakes must be received prior to the expiration of the Sweepstakes Period. This Sweepstakes is subject to all federal, state, and local laws and regulations. Sponsor is not responsible for technical difficulties, telephone or cell phone service disruptions or other equipment or service issues which might affect a person's ability to submit an email address to qualify or the ability of the Sponsor to notify the winners. Sponsor also assumes no responsibility for lost, late, damaged, misdirected, illegible, incomplete, incorrect or inaccessible entries or other Sweepstakes materials, all of which are void.

Proof of submission of an entry does not constitute proof of receipt of entry by Sponsor or its agents. Sponsor reserves the right to void all entries made through any third-party website or service, or through any robotic, automatic, mechanical, programmed or similar entry duplication method, and to disqualify any individual using such a website/service or entry method.

All entries become the property of the Sponsor and will not be returned.

By participating in the Sweepstakes, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor, which are final and legally binding in all matters related to the Sweepstakes. Such decisions include but are not limited to whether an entrant’s entry is in compliance with these Official Rules and is eligible for the Sweepstakes. By participating and/or accepting a prize, entrants, winners, and guests acknowledge and agree that this Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with, Facebook, Instagram, or Twitter and agree to release and hold harmless Facebook, Instagram, and Twitter, Sponsor, Sponsor’s advertising and promotional agencies, and their respective parent companies, subsidiaries, affiliates, partners, equity holders, agents, consultants, independent contractors, successors, assigns, employees, managers, officers, directors and other representatives (“Released Parties”) from any and all liability for loss, harm, damage, injury, cost, or expense whatsoever, including, without limitation, property damage, personal injury, and/or death that may occur in connection with, preparation for, travel to, or participation in the Sweepstakes, or possession, acceptance, and/or use or misuse of prize or participation in any Sweepstakes-related activity, including, but not limited to, any claims based on publicity rights, defamation or invasion of privacy, and merchandise delivery. Sponsor shall not be responsible for any cancellations, delays, diversions, substitutions, or omissions whatsoever by any transportation companies or any other persons providing any services to winner, including any results thereof, such as changes in services or location necessitated by same. Sponsor is not responsible if any part of a Sweepstakes prize cannot be awarded due to acts of God, acts of war, natural disasters, weather, or acts of terrorism. Sponsor shall not be liable for any loss or damage to personal belongings. Entrants who do not comply with these Official Rules or who attempt to interfere with this Sweepstakes in any way shall be disqualified.

Entering an entry in the Sweepstakes grants Sponsor and its designees (including Food52) the right to use, publish, adapt, edit and/or modify an entry in any way, in whole or in part, and to use such entry, and any ideas or concepts contained therein, in commerce and in any and all media now known or hereafter discovered, worldwide, without limitation or compensation to the entrant and without right of notice, review or approval of any such use of the entry.

The 4 Grand Prizes are as follows:

All costs and expenses not specifically described in these Official Rules are the responsibility of each winner. The Sponsor will fulfill all shipments of the Grand Prizes. The Sponsor will not replace any lost, mutilated or stolen items within the Grand Prizes. The Grand Prizes are not transferable.

Prizing is to be solely provided by Sponsor to the Grand Prize winners. If a notified winner does not respond to request for mailing information or any other contact initiated by Sponsor within seven (7) days of selection, the Grand Prize will be forfeited and/or offered to a runner up. Winners will be contacted by Sponsor about prizing, if offered, within seven (7) days of Sweepstakes end.

All local, state and federal taxes incurred by accepting a Grand Prize will be the sole responsibility of the winner. Any person winning over US$600.00 in prizes from Sponsor during any one (1) year period will receive an IRS Form 1099 at the end of the calendar year, and a copy of such form will be filed with the IRS.

By participating in this Sweepstakes, an entrant agrees to opt-in to receive e-mail communications from the Sponsor.

Winners will be selected at random from entrants. The 4 Grand Prize winners will be selected from all eligible entrants received during the Sweepstakes Period. The selections will be made on or about January 31, 2023. Odds of winning the Grand Prizes depend on the total number of eligible entries received during the Sweepstakes Period.

Potential winners will be notified within three (3) days of selection, via email. The potential Grand Prize winners will be required to respond within seven (7) days and return completed affidavit of eligibility, a liability release and a publicity release (where lawful), accompanied by valid government-issued photo identification (e.g., driver’s license), or prize will be forfeited and may be awarded to an alternate winner (in Sponsor’s sole discretion). Grand Prizes will only be delivered to addresses within the continental United States.

Unless prohibited by law, as a condition of entry, entrant grant consent to Food52, Sponsor, and each of their respective parent companies, subsidiaries, affiliates, partners, agents, consultants, independent contractors, successors, assigns, and other representatives to use such entrant’s name, likeness, photograph, voice, biographical information and/or such entrant’s entry for publicity or advertising in any media or manner, without further payment, consideration, notice or approval and without geographic or time limitation. All documents must be returned by potential winners within one (1) day of notification that such entrant is a potential winner. No potential winner will be an official winner until such entrant’s required documentation has been returned and eligibility has been formally verified by Sponsor. If any potential winner fails to comply with these Official Rules and/or to submit the required documentation within the designated time period, he/she will be automatically disqualified and the Grand Prize or Second Prize may be awarded to an alternate winner.

In the event of a dispute as to any winner, the person who owns the winning e-mail address will be deemed the winning entrant. Potential winners may be required to show proof of identification.

All disputes and questions regarding the construction, validity, interpretation and enforceability of these Official Rules, or concerning the rights and obligations of any participant and/or Food52 and/or the Sponsor, shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than New York. The invalidity or un-enforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision of these Official Rules is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained there.

By submitting your e-mail address to the email capture on the Sweepstakes landing page, entrant is agreeing to comply with and abide by all Official Rules. Food52 and/or Sponsor reserve the right to disqualify any entrants or winners at any point during or after Sweepstakes Period if they are not in compliance with the above Official Rules.
